Shareholders elect new Hellenic Bank board of directors

Shareholders at the Hellenic Bank’s first Annual General Meeting with Eurobank as main shareholder have elected the members of the Bank's new board of directors.

According to an announcement to the Cyprus Stock Exchange during the Bank's AGM in Nicosia, Stephen John Albutt was reelected as an independent non-executive director. Michalakis Louis was elected executive director of the Hellenic Bank board. Oliver Bernard Ellingham elected as an independent non-executive director, as was Robert Anastassis Kyprianou, Charalambos Constantinou, Maria Charalambous, Sofronis Clerides and Kenneth Howard Prince-Wright. Dr. Cleanthis Chandriotiswas elected as a non-executive director.

In the official announcement, Hellenic Bank said, “In accordance with the abovementioned results by poll and Regulations 109 and 110 of the Articles of Association of the Bank, Mr Stephen John Albutt was re-elected as Member of the Board of Directors and Messrs Michalakis Louis, Oliver Bernard Ellingham, Robert Anastassis Kyprianou, Charalambos Constantinou, Maria Charalambous, Sofronis Clerides and Kenneth Howard Prince-Wright were elected as Members of the Board of Directors. Messrs M. Louis, O. B. Ellingham, R. A. Kyprianou, Ch. Constantinou, M. Charalambous, S. Clerides and K. H. Prince-Wright have been approved by the European Central Bank / Central Bank of Cyprus and, hence, they are appointed to the Board of Directors with immediate effect.”

“Furthermore, in accordance with the abovementioned results, Dr. Cleanthis Chandriotis was not elected as Member of the Board of Directors. Mr Demetrios Efstathiou had not offered himself for re-election at the AGM and, hence, his term of office on the Board of Directors expired at the end of the AGM. Mr Andreas Persianis resigned from his office as Director of the Bank before the commencement of the AGM. Messrs John Gregory Iossifidis, Christodoulos Hadjistavris and Marco Comastri resigned from the office of the Director of the Bank before the commencement of the voting at the AGM,” the announcement also said.

It is noted that the following remain on the Board of Directors of Hellenic Bank:

The current chairman Petros Christodoulou, who took office last January.

The interim Chief Executive Officer, Antonis Rouvas, who will continue as Chief Financial Officer of the group.

Miranda Xafa, who was appointed as a member of the Board of Directors of Hellenic Bank on February 14, 2022.
